These Terms of Service (“Terms”) apply to all paid services purchased through this website or otherwise provided by Pathways Learning, Performance, and Coaching.

 

By purchasing, booking, or participating in any services provided by Corrado Chiaramida, operating as Pathways Learning, Performance, and Coaching (“Pathways”, “we”, “us”, or “our”), you confirm that you have read, understood, and agree to be bound by these Terms.

1. Services

 

Pathways provides professional coaching, consulting, training, advisory, and related professional development services (the “Services”). Services may be delivered on a one-time, recurring, or packaged basis, as described on the website or in applicable service descriptions at the time of purchase.

 

Unless otherwise agreed in writing, Services are delivered virtually. In-person services may be available by mutual agreement and may involve additional fees related to travel, venue, or administration.

2. Nature of Services

​

Coaching services are professional, collaborative processes focused on learning, awareness, development, and performance. Coaching is not therapy, counselling, legal advice, medical advice, or mental health treatment.

 

Consulting and advisory services are professional services and do not constitute regulated professional advice unless expressly stated in writing.

 

You acknowledge and agree that:

• You remain fully responsible for your decisions, actions, and results

• No specific outcomes or guarantees are promised

• Where applicable, coaching services are conducted in alignment with the International Coaching Federation (ICF) Code of Ethics

3. Booking, Scheduling, and Attendance

​

Sessions must be scheduled in advance and are subject to availability. You are responsible for attending sessions on time and prepared. Late arrivals do not extend session duration.

4. Cancellations and Rescheduling

​

Sessions may be rescheduled with at least 24 hours’ prior written notice (subject to availability)

 

Cancellations or rescheduling requests made with less than the required notice are treated as completed sessions and are not eligible for refund or credits provided. Missed sessions without notice are forfeited.

5. Fees, Payments, and Taxes

​

All fees are listed in Canadian Dollars (CAD). Clients located outside Canada are responsible for any currency conversion, exchange rate differences, or foreign transaction fees applied by their payment provider or financial institution.

Payment is required in advance of service delivery unless otherwise agreed in writing. Client is responsible for any applicable taxes, duties, or charges required by law based on their location.

Some Services are offered on a recurring or installment basis. By enrolling in such Services, Client authorizes Consultant to charge the payment method on file in accordance with the selected plan.

​

Client is responsible for maintaining valid and current payment information. If a payment fails due to insufficient funds, expired payment details, or other processing issues, Consultant may:

• Charge any applicable failed payment or insufficient funds fees imposed by the payment processor; and/or

• Suspend Services until payment issues are resolved.

​

Repeated payment failures may result in termination of Services.

 

​

6. Refunds, Deposits, and “Risk-Free Start”

​

Payments are non-refundable once Services have commenced.

​

Where a deposit is required, deposits are applied toward the total service fee and are fully refundable until assessment access is provided or sessions are scheduled. Once either occurs, the deposit becomes non-refundable and is applied toward preparation and administrative costs.

​

If full payment is made in advance and Client cancels before Services begin, a refund will be issued less a 10% administrative fee to cover non-recoverable processing and administrative costs.

Where a “Risk-Free Start” or similar offering is described on a service or package page, any refund rights are governed by the scope, timing, and conditions stated for that offering.

Refunds do not apply to:

• Completed sessions

• Assessments already administered or accessed

• Preparation, analysis, or materials already developed

 

 

7. Packages, Expiry, and Transfers

Packages must be used within the stated time period (for example, 12 months from purchase), unless otherwise agreed in writing.

Unused sessions expire at the end of the applicable period and are not refundable. Packages are non-transferable unless explicitly agreed in writing.

8. Confidentiality

​

Pathways treats client information with care and confidentiality, subject to legal and ethical obligations.

Recording of sessions (audio, video, or screenshots) is not permitted without prior written consent.

 

Where Services are provided in an organizational or sponsored context, limited information may be shared with the sponsoring organization, such as attendance confirmation or aggregate, anonymized themes. The content of individual coaching sessions remains confidential unless the participant provides explicit written consent.

9. Intellectual Property

​

All materials, tools, frameworks, exercises, and resources provided in connection with the Services remain the intellectual property of Pathways or its licensors.

Materials are provided for personal or internal business use only and may not be reproduced, distributed, taught, resold, or repurposed for commercial use without prior written permission.

10. Disclaimers & Limitation of Liability

​

Services are provided “as is” and without warranties of any kind, express or implied. Pathways does not guarantee specific results or outcomes.

11. Limitation of Liability

​

To the fullest extent permitted by applicable law, Pathways’ total liability for any claim arising from or related to the Services is limited to the total amount paid for the Services.

 

Pathways is not liable for indirect, incidental, or consequential damages.

12. Termination

​

Pathways reserves the right to suspend or terminate Services for breach of these Terms, non-payment, or where continuation of the engagement is no longer appropriate.

 

Fees for Services already delivered remain payable.

13. Governing Law and Jurisdiction

​

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

 

You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario.

14. Changes to These Terms

​

Pathways may update these Terms from time to time. The version in effect at the time of purchase governs the Services provided.
